Acceptance of Terms
By accessing or using the Doctori platform (the "Service"), available at doctor.swlt.ae, you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a medical practice, clinic, or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any modifications to these Terms constitutes acceptance of those changes.

Description of Service
Doctori is a cloud-based software-as-a-service (SaaS) platform designed for medical professionals and healthcare providers. The Service provides:
- Patient management and electronic health records
- Appointment scheduling and calendar management
- AI-powered clinical documentation assistance (SOAP notes, diagnoses, prescriptions)
- Billing and invoicing
- Omnichannel patient communication (WhatsApp, Instagram, Messenger)
- Digital marketing services including SEO, social media, Google Ads, and reputation management
Doctori reserves the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice provided to active subscribers.

Account Terms
To use the Service, you must create an account. When creating an account, you agree to the following:
- You must be at least 18 years of age and a licensed medical professional or authorized representative of a healthcare facility.
- You must provide accurate, complete, and current information during registration and keep your account information up to date.
- You are responsible for maintaining the security of your account credentials. You must not share your password or allow others to access your account.
- You are responsible for all activity that occurs under your account, including actions taken by staff members you have granted access to.
- You must immediately notify Doctori at support@swlt.ae if you become aware of any unauthorized access to or use of your account.
Doctori reserves the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

Billing and Payments
Doctori offers subscription-based pricing plans. By subscribing to a paid plan, you agree to the following billing terms:
- All subscription fees are billed in advance on a monthly recurring basis via Stripe, our third-party payment processor.
- You authorize Doctori to charge your designated payment method for the applicable subscription fees.
- Subscription fees are non-refundable except as expressly set forth in Section 5 (Cancellation and Refunds).
- Doctori may change subscription pricing with at least 30 days' written notice. Continued use of the Service after a pricing change constitutes acceptance of the new pricing.
- If payment fails, Doctori will attempt to collect payment for a grace period of 7 days. If payment is not resolved, your account may be downgraded or suspended.
All prices are listed in US Dollars (USD) unless otherwise stated. You are responsible for any applicable taxes associated with your subscription.

Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting support@swlt.ae. Upon cancellation:
- Your subscription will remain active until the end of the current billing period. You will not be charged for subsequent periods.
- No partial refunds will be issued for unused time within a billing period, unless required by applicable law.
- After cancellation takes effect, your access will be limited to read-only mode for 30 days, during which you may export your data.
- After the 30-day grace period, your data will be permanently deleted in accordance with our data retention policy.
Refunds for the 14-day free trial period are not applicable, as no charge is made during the trial.

Data Processing and Privacy
Doctori processes personal data and protected health information (PHI) on behalf of healthcare providers. In doing so:
- You retain full ownership of all patient data and clinical records entered into the Service. Doctori acts as a data processor on your behalf.
- All data is encrypted in transit (TLS 1.2+) and at rest (AES-256). Access to data is restricted through role-based access controls.
- Doctori will not sell, share, or use patient data for any purpose other than providing and improving the Service.
- You are responsible for ensuring that your use of the Service complies with all applicable data protection and healthcare privacy regulations in your jurisdiction, including but not limited to local health authority requirements.
- Doctori maintains audit trails of all data access and modifications within the platform for accountability and compliance purposes.

Medical Disclaimer
Doctori is a practice management and clinical documentation tool. It is not a medical device, and it does not provide medical advice, diagnosis, or treatment. Specifically:
- The AI-assisted features (including SOAP note generation, diagnosis suggestions, and prescription recommendations) are intended solely as decision-support tools for licensed medical professionals.
- All clinical decisions remain the sole responsibility of the treating physician or healthcare provider. AI-generated suggestions must be independently reviewed and verified before being applied to patient care.
- Doctori does not guarantee the accuracy, completeness, or clinical appropriateness of any AI-generated content.
- You acknowledge that the Service does not replace professional medical judgment and that you bear full responsibility for the care of your patients.

AI-Generated Content
The Service uses artificial intelligence models to assist with clinical documentation and other features. Regarding AI-generated content:
- AI outputs may contain errors, omissions, or inaccuracies. You must review all AI-generated content before accepting, saving, or acting upon it.
- Patient data sent to AI models is processed in accordance with our Privacy Policy. Doctori does not use your patient data to train AI models.
- AI features are subject to rate limits and usage quotas as defined by your subscription plan.
- The availability and capabilities of AI features may change as underlying AI models are updated or replaced.

Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation.
- Store or transmit any data that you do not have the legal right to collect, use, or disclose.
- Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
- Use the Service for any purpose other than legitimate healthcare practice management and operations.
- Resell, sublicense, or provide access to the Service to any third party without prior written consent.

Intellectual Property
The Service, including all software, design, text, graphics, interfaces, and underlying technology, is owned by Doctori and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during the subscription term.
You retain all ownership rights to the data you upload, enter, or generate through the Service. Doctori claims no intellectual property rights over your content.

Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Doctori shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Service.
- Doctori's total aggregate liability arising out of or related to these Terms shall not exceed the amount you have paid to Doctori in the twelve (12) months preceding the event giving rise to the claim.
- Doctori does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
Nothing in these Terms shall exclude or limit liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded by applicable law.

Indemnification
You agree to indemnify, defend, and hold harmless Doctori, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your use of or access to the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Any claim that your use of the Service caused damage to a third party, including patients.

Changes to Terms
Doctori reserves the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page.
- Notify you via email or through a prominent notice within the Service at least 14 days before the changes take effect.
- Provide you with the opportunity to review the updated Terms before they become binding.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service and cancel your subscription.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.
